Wayne has 40years’ experience in organic chemistry both in academia, government and industry. Wayne obtained his BSc (Hons) and PhD in Organic Chemistry from The University of Western Australia. He then spent two years at Imperial College in the UK where he obtained a DIC, followed by a year at the Australian National University in Canberra. He then took up a position with ICI Australia’s Research Group in Melbourne for four and a half years which included a secondment to ICI Agrochemicals in the UK. Following ICI, Wayne returned to Western Australia and spent ten years at the Chemistry Centre(WA) where he was responsible for the formation and running of the Medicinal & Biological Chemistry Section which undertook collaborative R&D into drug discovery and contract synthesis for the drug discovery and pharmaceutical industries. He then founded Epichem Pty Ltd, a contract research and drug discovery Company, which he managed for 14 years before moving full-time to Nanollose in 2018.

Wayne is a Fellow of the Royal Australian Chemical Institute and has held appointments as an Adjunct Associate Professor at both Murdoch University and The University of Western Australia. He is also a Graduate Member of the Australian Institute of Company Directors and has served as a Director for several listed and unlisted biotechnology companies.

Heidi Beatty, founder of Crown Abbey Ltd is a scientist and innovator who has 20 years experience developing consumer and health care products.

After gaining a bachelors degree in Chemistry from the University of York UK, Heidi worked with Johnson & Johnson for 10 years in Europe and the US. Starting as a Formulator developing products that safely and effectively clean babies’ skin for Johnson’s Baby®, she went on to apply her knowledge of skin to develop pantyliners and then wet wipes – with a focus on developing unique and proprietary claims through linking a deeper understanding of women’s health and wellbeing with new technologies.

In 2010 she joined PDI Healthcare, where she led teams to launch Surface Disinfectants and Skin Antisepsis products – striving to reduce and prevent infections in hospitals. She not only led the R&D team but also brought strategic direction both in terms of process improvement for product innovation and also to improve team effectiveness.

Heidi founded Crown Abbey in 2015. Crown Abbey is a consultancy company that supports clients in their project launches – combining Project Management and Product Development across Consumer and Healthcare categories. Crown Abbey is now four people strong and has completed projects in many different areas including supplements, diagnostics, non-wovens and medical devices.

Heidi combines a unique skillset of innovation and project management, enabling her to conceptualise new ideas and bring them to reality. Her passion for the Environment is evident in the technical solutions she brings as well as her prior involvement in Corporate Sustainability programs. In addition to setting up her own company and numerous product launches, Heidi holds a Project Management Professional (PMP) certification, has been the Chair of EDANA’s Wet Wipe Committee for 3 years, holds a Black Belt in Six Sigma and has filed multiple patents.

Mr Willesee is an experienced company director with over 25 years’ experience in the capital markets. He brings a broad range of skills and experience in company development, corporate governance, merger and acquisition transactions and corporate finance. Mr Willesee has considerable experience with listed and other companies over a broad range of industries, from early stage activities to large capital development projects, having held chairmanships, directorships and company secretarial positions with a number of listed and other companies over many years.

Mr Willesee holds a Master of Commerce, a Post-Graduate Diploma in Business (Economics and Finance), a Graduate Diploma in Applied Finance and Investment, a Graduate Diploma in Applied Corporate Governance, a Graduate Diploma in Education and a Bachelor of Business. He is a Fellow of the Financial Services Institute of Australasia, a Graduate of the Australian Institute of Company Directors, a Member of CPA Australia, and a Fellow of the Governance Institute of Australia and the Institute of Chartered Secretaries and Administrators/Chartered Secretary.

Mr Willesee is currently a Non-Executive Director of One Click Group Limited (ASX:1CG), Nanollose Limited (ASX:NC6) and Metals One PLC (AIM:MET1), and Chairman of Citius Resources PLC (LSE:CRES).

Mrs Dawson is an experienced corporate professional with a broad range of corporate governance and capital markets experience, having been involved with several public company listings, merger and acquisition transactions and capital raisings for ASX-listed companies across a diverse range of industries. Mrs Dawson holds a Bachelor of Commerce (Accounting and Finance) and a Graduate Diploma in Applied Corporate Governance. She is a member of the Governance Institute of Australia/Chartered Secretary.

Notice of rights of members in connection with certain documents

Nanollose Limited ACN 601 676 377 (Company) gives notice pursuant to section 110K of the Corporations Act 2001 (Cth) (Corporations Act) of the rights of members (Shareholder) to:

elect to receive or not receive certain documents;

and make requests to be sent certain documents in physical or electronic form.

The Company is required to send the following documents to Shareholders, and Shareholders are entitled to receive:

documents that relate to a meeting of Shareholders, such as a notice of meeting or proxy or voting forms;

the Company’s Annual Report (comprising the financial report, directors’ report and auditor’s report for the relevant financial year); and

a notice of members’ rights under section 110K of the Corporations Act (such as this notice), unless the notice is readily available on a website, together with any other documents prescribed by relevant regulations, (collectively, the Documents).

elect not to be sent the Company’s Annual Report (and any other documents prescribed by the relevant regulations), by notifying the Company of the election.

A Shareholder may make an election in relation to all Documents or a specified class(es) of Documents.

The Company encourages all Shareholders to receive communications electronically both to ensure that you stay informed and reflecting our commitment to minimising paper usage.

In addition to any election, a Shareholder is also entitled to request to send a particular Document to the Shareholder in physical form or in electronic form.
